Terms of Use

These Terms of Use ("Terms") govern your use of VOKZ.pay, including the website at vokzpay.com, the merchant dashboard, the payment pages and the API (together, the "Service"). "VOKZ.pay", "we" and "us" refer to the operator of the Service. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. What VOKZ.pay is

VOKZ.pay is software that lets merchants create charges in USDC on the Solana network and detects when they are paid. The Service is non-custodial:

Payments go directly from the payer's wallet to the merchant's wallet. VOKZ.pay never receives, holds, converts or transfers merchants' or payers' funds.
We never have access to your wallet's private key or recovery phrase, and we will never ask for them.
VOKZ.pay is not a bank, payment institution, money transmitter, currency exchange or custodian, and does not provide financial, legal or tax advice.

2. Your account

You must be at least 18 years old and able to enter into a binding contract.
The information you give us must be accurate and kept up to date.
You are responsible for keeping your password, two-factor authentication and wallet secure, and for all activity in your account. Tell us right away at [email protected] if you suspect unauthorized access.
You are responsible for the wallet you link: payments for your charges go to it, and we cannot redirect or recover funds sent to a wallet you no longer control.

3. Plan and fees

New accounts get a free trial. After it ends, creating new charges requires an active monthly plan.
The plan is priced in USDC (the current price is shown in the dashboard) and covers 30 days from each payment. It is paid in USDC on Solana, through the Service's own payment page.
VOKZ.pay does not charge fees per transaction. Payers pay the Solana network fee for their own transactions.
If your plan expires, you can no longer create new charges. Your account, data and existing charges remain available.
We may change the price of the plan with at least 30 days' notice. Changes do not affect a period you have already paid for.
Plan payments are not refundable, except where required by applicable law.

4. Payments on the blockchain

Transactions on the Solana network are final and irreversible. VOKZ.pay cannot cancel, reverse or refund a payment. Any refund is made by the merchant, directly to the payer.
A charge is paid with the Solana Pay QR code shown on the payment page, using a wallet that supports Solana Pay. A payment sent by other means (for example, a manual transfer to the merchant's address, from another network or after the charge expires) may not be recognized as payment of the charge. In that case the funds still reach the merchant's wallet, and the merchant and the payer resolve it between themselves.
Payment detection depends on the Solana network and third-party providers. Delays or outages may affect when a payment is shown as confirmed.
USDC is issued by a third party. We are not responsible for its value, its issuer or the operation of the Solana network.
Payments made in test mode (Solana devnet) have no monetary value.

5. Merchant responsibilities

As a merchant, you are solely responsible for:

the goods and services you sell, their delivery, refunds and customer support;
your taxes, accounting and any reporting required in your country;
complying with the laws that apply to you and your customers, including consumer protection, anti-money-laundering and sanctions laws;
the descriptions you add to charges, which are shown to payers.

6. Prohibited use

You may not use the Service to:

sell or pay for anything illegal in your country or in the payer's country;
commit fraud, run scams or phishing, or impersonate another person or business;
launder money, finance terrorism or evade sanctions;
serve persons or jurisdictions subject to sanctions by Brazil, the United Nations, the United States, the United Arab Emirates or the European Union;
interfere with the Service, bypass its security or limits, or access other users' data.

7. Suspension and termination

We may suspend or close an account that breaches these Terms, puts other users at risk or is required to be closed by law. Where reasonable, we will tell you why. You may stop using the Service at any time and ask us to delete your account at [email protected]. Because we never hold funds, closing an account does not affect the money already in your wallet.

8. Third-party services

The Service relies on third parties, such as the Solana network, wallets, hosting, content delivery, blockchain data and email providers. We are not responsible for their availability or for losses caused by them, including by your wallet software.

9. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we make no warranties that it will be uninterrupted, error-free or fit for a particular purpose.

10. Limitation of liability

To the extent permitted by law, VOKZ.pay is not liable for indirect, incidental or consequential damages, lost profits or lost data, and our total liability for any claim is limited to the plan fees you paid us in the three months before the event that gave rise to it. Nothing in these Terms limits rights that cannot be limited under the law that applies to you.

11. Intellectual property

The Service, its software and the VOKZ.pay brand belong to us. You keep the rights to the content you add, and you allow us to use it only to operate the Service.

12. Changes to these Terms

We may update these Terms. We will tell merchants about relevant changes by email or in the Service before they take effect. Continuing to use the Service after a change means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the Federative Republic of Brazil, and disputes will be settled by the courts of Brazil, without prejudice to mandatory consumer protection rights in your country of residence.
